1. Acceptance of Terms

By accessing or using the website located at austinbryantconsulting.com (“Website”), or by engaging Austin Bryant Consulting (“Company”, “we”, “us”, or “our”) for any digital marketing services, you (“Client”, “User”, or “you”) agree to comply with and be legally bound by these Terms & Conditions (“Terms”). If you do not agree with any part of these Terms, you must immediately cease use of this Website and refrain from engaging our services.

These Terms apply to all visitors, clients, prospects, and anyone else who accesses or uses the Website or our services, including:

  • Website visitors who browse content, read blog posts, or access educational resources
  • Prospective clients who submit contact forms or request consultations
  • Active clients who have entered into a service agreement with Austin Bryant Consulting
  • Past clients and subscribers to our communications

2. Description of Services

Austin Bryant Consulting is a digital marketing agency providing the following professional services to small and medium-sized businesses throughout the United States:

2.1 Search Engine Optimization (SEO)

Comprehensive SEO services including technical audits, keyword research, on-page optimization, content strategy, local SEO, entity optimization, and link building campaigns designed to improve organic search visibility on Google and other search engines.

2.2 AI Summary Optimization (AEO)

AI Engine Optimization services designed to make your business visible and cited by AI-powered search platforms including Google AI Overviews, ChatGPT, Perplexity, Microsoft Copilot, and Gemini. This is an emerging service category and results may vary based on the evolving nature of AI search algorithms.

2.3 Pay-Per-Click (PPC) Advertising & Paid Ad Management

Google Ads management, Meta (Facebook/Instagram) advertising, and other paid media campaign management including campaign setup, keyword targeting, bid management, ad creative, conversion tracking, and ongoing optimization.

2.4 Web Design & Hosting

Custom website design and development, primarily on WordPress, including landing pages, conversion-optimized websites, website hosting management, and ongoing maintenance services.

2.5 Social Media Marketing

Social media strategy, content creation, account management, paid social advertising, and community engagement across platforms including Facebook, Instagram, LinkedIn, and others as agreed.

2.6 Logo Design & Branding

Brand identity development including logo design, brand guidelines, visual identity systems, and related creative deliverables.

2.7 Lead Generation Services

Multi-channel lead generation strategies combining SEO, PPC, content marketing, and conversion rate optimization to generate qualified inquiries for client businesses.

The specific scope, deliverables, timelines, and pricing for any service engagement are governed by a separate Service Agreement or Proposal. These Terms operate alongside any such agreement.

3. No Guarantee of Results

IMPORTANT: Austin Bryant Consulting does not guarantee specific rankings, traffic levels, leads, revenue outcomes, or any other performance metric, except as expressly and specifically stated in a separate signed Service Agreement.

Digital marketing, including SEO, PPC, and AI optimization, is subject to:

  • Algorithm updates by Google, Bing, and other search engines, which are outside our control
  • Changes to AI platforms (ChatGPT, Perplexity, Google SGE) that may affect visibility
  • Competitive market conditions in your industry and geographic area
  • The quality and cooperation of client-provided information, access, and approvals
  • Website hosting, speed, and technical infrastructure factors
  • Third-party advertising platforms (Google Ads, Meta) and their policies

While we strive to deliver measurable improvements and have an excellent track record of results, we make no warranties, express or implied, as to any specific outcome. Past client results are not a guarantee of future performance.

4. Client Responsibilities

When engaging Austin Bryant Consulting for services, the Client agrees to:

  • Provide accurate, complete, and timely information about the business, products, services, and target market
  • Grant necessary access to website backends, Google Analytics, Google Search Console, Google Ads accounts, and social media platforms as required
  • Review and approve content, design deliverables, and strategies within agreed timelines
  • Ensure all information provided to Austin Bryant Consulting is truthful and does not violate any third-party rights
  • Maintain accurate business information (name, address, phone number) across all digital platforms
  • Pay all invoices by the agreed due date as specified in the Service Agreement
  • Provide feedback and communicate concerns in a timely manner

Delays caused by the Client’s failure to fulfil the above responsibilities may result in project timeline extensions and are not the responsibility of Austin Bryant Consulting.

5. Payment Terms

Payment terms for services are governed by the individual Service Agreement or Proposal. General terms include:

  • All fees are quoted in United States Dollars (USD)
  • Invoices are due within 15 days of issuance unless otherwise specified in the Service Agreement
  • Late payments may incur a 1.5% monthly interest charge or the maximum rate permitted by applicable law
  • Austin Bryant Consulting reserves the right to pause or suspend services for accounts more than 30 days past due
  • All payments are non-refundable unless explicitly stated otherwise in a signed agreement
  • Ad spend for PPC campaigns is billed separately and paid directly to the advertising platform (e.g., Google, Meta) unless otherwise agreed

Austin Bryant Consulting accepts payment via bank transfer, credit card, and other methods as specified in the invoice or Service Agreement.

6. Intellectual Property

6.1 Our Content

All content on this Website, including but not limited to text, graphics, logos, images, blog posts, educational materials, tools, and service descriptions, is the exclusive property of Austin Bryant Consulting or its licensors and is protected by United States and international copyright and intellectual property laws. You may not reproduce, distribute, or commercially exploit any content without our express written permission.

6.2 Client Deliverables

Work product created specifically for a Client (e.g., website designs, ad copy, blog content, brand assets) becomes the property of the Client upon receipt of full payment for those deliverables, unless otherwise specified in the Service Agreement. Austin Bryant Consulting retains the right to use anonymised or publicly visible examples of client work in its portfolio and marketing materials, unless the Client has provided written objection.

6.3 Client Materials

The Client grants Austin Bryant Consulting a non-exclusive, royalty-free licence to use any materials, logos, content, and information provided by the Client solely for the purpose of delivering agreed services.

7. Acceptable Use of This Website

You agree to use this Website only for lawful purposes. You agree NOT to:

  • Use the Website in any way that violates applicable federal, state, local, or international laws
  • Transmit unsolicited commercial communications (spam)
  • Impersonate Austin Bryant Consulting, its employees, or any other person

9. Disclaimer of Warranties

In no event shall Austin Bryant Consulting’s total aggregate liability to any Client exceed the total amount paid by that Client to Austin Bryant Consulting in the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Austin Bryant Consulting and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of this Website or our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or information you provide to Austin Bryant Consulting.

12. Confidentiality

Both parties agree to keep confidential any proprietary business information disclosed during a service engagement, including client business strategies, performance data, and campaign details. This obligation shall survive the termination of any service agreement for a period of two (2) years. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

13. Termination of Services

Termination terms for any active service engagement are governed by the applicable Service Agreement. In general:

  • Either party may terminate a month-to-month service agreement with 30 days’ written notice
  • Austin Bryant Consulting reserves the right to immediately terminate services in the event of non-payment, abusive conduct, or violation of these Terms
  • Upon termination, the Client remains responsible for payment for all services rendered up to and including the effective termination date
  • Austin Bryant Consulting will provide reasonable assistance in transitioning accounts and deliverables to the Client upon request following termination

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Collin County, Texas, in accordance with the rules of the American Arbitration Association. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

15. Changes to These Terms

Austin Bryant Consulting reserves the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this document. Continued use of the Website or our services after changes are posted constitutes your acceptance of the revised Terms.

16. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with any applicable Service Agreement, Proposal, and our Privacy Policy, constitute the entire agreement between you and Austin Bryant Consulting regarding use of the Website and our services, superseding all prior communications and agreements.
